ThisagreementisestablishedbetweenXXXCompanyLimited(hereafterasPartyA)andXXX(hereafterasPartyB)onthebasesofthefollowingtermsandconditions.

1.PartyAemploysPartyBasPartyAsbsinessrepresentativefromthedateofJanary1st2005toDecember31st2008.AfterthematrityofthisAgreement,bothpartiesbasedonownnecessity,mayeitherreneworterminatetheagreementwithotanycondition.

2.ResponsibilitiesandservicesforPartyBarelistedbelow:

(1)Provideexpansionandserviceforthecrrentclients-XXX;XXX..

(2)PromotesalesofPartA.newprodctsandprovideassistanceandservicesasreqestedbyaforementionedclients.

(3)DeveloppotentialclientsinEropemarket.

(4)CollectandanalyzemarketinginformationinErope,andreportthereslttoPartA.SalesDepartmentforreferencefordevelopingnewprodctsinftre.

(5)Assistrelatedprodctexhibitionincldingliaisonandexectionofthesaidexhibition.

3.CommissiontobepaidtoPartyBnderthefollowingterms:

4.ResponsibleAreas:WithinPartyAsbsinessareasexcldingUSAandChina,andPartyAmayhavetheflexibilityincoordinationwithPartyBforareasonableadjstment,soastomeetPartyAbsinessreqirements.

5.DringthisAgreementcoveringperiod,bothpartiesforgoodreasonsmayreqesttoterminatedtheAgreement,bteitherPartymstinformtheotherParty10daysaheadoftime.

6.OncethisAgreementbecomeseffective,PartyBmstobservePartyAsbsinesssecrecy,andenjoynolaborinsrance,healthinsrance,gropinsranceandotherwelfaremeasrements.

7.7daysbeforeexpirydateofthisAgreement,ifPartyAhasnotinformedPartyBabottermination,thisAgreementisdeemedtoberenewedforanotheryear.

8.PartyBmstobservePartyAssecrityreglationofthisAgreementandsoforthwithin3yearsperiod.

9.PartyBwithinthisAgreementperiod,mayhaveliterarywork,trademark,patentoranyotherrelevantintellectalasset,exceptalreadynegotiatedwithpartyA,willrefertoPartyAsrightofpossessionwithotanycondition.

10.BothPartieskeeponecopyofthisAgreement.
